01Acceptance of Terms
By accessing our website at medianeeti.in or engaging Medianeeti ("we", "our", "us") for any service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and anyone who accesses or uses our services. We reserve the right to update these terms at any time — continued use of our services after changes constitutes acceptance.
02Our Services
Medianeeti provides digital marketing, brand strategy, logo and visual identity design, content creation, social media management, performance marketing, and related creative services.
The specific scope, deliverables, timelines, and fees for each engagement are agreed in a separate written proposal or Statement of Work (SOW). In the event of any conflict between these Terms and a specific SOW, the SOW shall prevail for that engagement.
We reserve the right to decline any project or client at our discretion, without obligation to provide a reason.
03Client Obligations
To enable us to deliver work effectively, clients agree to:
- Provide accurate, complete, and timely information, materials, and approvals required for the project
- Designate a primary point of contact with authority to give approvals and make decisions
- Review and provide feedback within agreed timelines — delays caused by client inaction may affect delivery dates and are not Medianeeti's responsibility
- Ensure all materials, content, and information provided to us do not infringe any third-party rights
- Use delivered work only for lawful purposes and in compliance with applicable laws
04Payment Terms
Payment terms are specified in each individual proposal or SOW. Unless otherwise agreed in writing:
- Project work requires a 50% advance payment before work commences, with the balance due on delivery
- Monthly retainer fees are invoiced at the start of each month and due within 7 days
- All fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless otherwise stated
- Late payments (beyond the agreed due date) may attract interest at 2% per month on the outstanding amount
- We reserve the right to pause or suspend work on any project where payment is overdue by more than 14 days
All fees are non-refundable once work has commenced on the applicable phase, unless we have materially failed to deliver the agreed scope.
05Intellectual Property
Ownership of intellectual property (IP) is governed as follows:
- Client-owned upon full payment — all final deliverables (logos, design files, written copy, completed campaigns) transfer to the client upon receipt of full payment for that phase of work
- Medianeeti retains — ownership of all working files, source files, concepts, and materials not included in the final approved deliverables, unless explicitly agreed otherwise in writing
- Third-party assets — stock images, licensed fonts, or third-party software used in deliverables remain subject to their respective licences. We will identify any such assets at delivery.
- Portfolio rights — we reserve the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project commencement
Clients warrant that all content, materials, and information provided to us are owned by them or they have the right to use and authorise us to use them.
06Revisions & Scope
The number of revision rounds included in each project is specified in the proposal or SOW. Additional revisions beyond the agreed number, or changes to the agreed scope, will be quoted separately.
A revision is defined as feedback and changes within the original brief. Changes to the fundamental direction, strategy, or scope of a project (a "scope change") constitute new work and will be quoted accordingly.
We are not responsible for errors or omissions in final deliverables where the client has provided written approval of the content prior to production.
07Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the engagement. This obligation continues for 2 years after the termination of the engagement.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.
08Termination
Either party may terminate an engagement with 30 days' written notice. Upon termination:
- The client is liable for all work completed and costs incurred up to the termination date
- Medianeeti will deliver all completed work to the client upon receipt of outstanding payment
- Any advance payments for work not yet commenced will be refunded on a pro-rata basis
We may terminate immediately, without notice, if a client engages in abusive, illegal, or fraudulent conduct.
09Limitation of Liability
To the fullest extent permitted by applicable law:
- Medianeeti's total liability to the client for any claim arising from an engagement shall not exceed the total fees paid for the specific project or service giving rise to the claim
- We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits or revenue
- We do not guarantee specific business outcomes, rankings, revenue increases, or results from marketing campaigns — results depend on many factors outside our control
- We are not liable for delays caused by client inaction, third-party platform changes, or events beyond our reasonable control
10Website Use
When using medianeeti.in, you agree not to:
- Use the site for any unlawful purpose or in a way that violates these terms
- Attempt to gain unauthorised access to any part of the website or its infrastructure
- Transmit any harmful, offensive, or disruptive content or code
- Reproduce, republish, or redistribute our content without written permission
We reserve the right to suspend or block access to the website for any user who violates these terms.
11Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or any engagement with Medianeeti shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
